offer letter里有这样一段话， 麻烦大家看下是什么意思， 这个stock option 到底
是要买的要是白给的？
addition, after approval by the Board of Directors, you will be granted to
the extent allowable under
applicable securities and tax laws an Incentive Stock Option for 30,000
shares of the Company's Common
Stock. The exercise price of such grant of shares will be determined by the
Company's Board of Directors at a
meeting date after your date of hire. The exercise price of the options will
be the Fair Market Value as
determined by the Board of Directors under a reasonable valuation method in
accordance with Section 409A of
the Intemal Revenue Code. Your options are governed by the terms and
conditions of the Company's 2012
Stock Option Plan (the "Option Plan") that will be provided to you when the
option is granted. The options shall
vest over a four (4) year period at the rate of 1/4'" of the total grant on
the date one year after your date of hire
and an additional 1/481h of the total grant each month thereafter, subject
to your continued employment |

you dont have to report tax when you exercise your option.
不过不是白送 如果公司前景好的话 是项不错的投资 不好的话 就是废纸 甚至你持有
以后亏钱还说不定 |

嗯，是option，不exercise等于拿到废纸，亏钱倒不会。
我手里还有某公司的一把option，行权价29，现在股价不到10块。lol

那也要看他是不是到要交AMT的程度
我的意思是 你行权的时候股票是fair market value 然后股票跌了 你等于是买了股票
..
有些规定是 你行权以后 要过段时间才能卖

People choose to exercise ISO and hold the shares for a year in order to
pay much lower taxes on long-term capital gain rate.
But this is double-edged sword. In year 1999-2000, some people lost all
their fortunes for exercising too much ISO at the high fair market value,
the next year the stock tanked but still needed to come up money to pay AMT
taxes. |
