发帖数: 110 | 1 前些时候，Hospira宣布要以2.20/股来收购Javelin Pharmaceuticals ，结果最近又宣
布延长offer。因为持有JAV，scottrade发email问是否参与这个offer，加入的话就交$
25。 是新手没遇到过这种情况，请教大牛一个问题。
看了JAV网站首页上的两则消息，感觉两者还是挺可能交易成功的。如果赌这个的话，
选择加入这个offer好像是最简单的做法。 问题是如果不加入会怎样呢？看到一句“如
果并购成功, Javelin's shares would cease to be traded on the NYSE Amex”。所
以如果没通过scottrade加入这个交易的话， 手里的JAV股票还能继续买卖，或者卖给
Hospira吗？

【Hospira Announces Extension of Tender Offer for Shares of Javelin
Pharmaceuticals】
里面有一段是 “As of the expiration of the original offer period, a total of
51,062,801 Javelin shares (including 1,037,092 shares tendered pursuant to
guaranteed delivery procedures), representing approximately 78.82 percent of
the outstanding shares of Javelin common stock, had been validly tendered
and not withdrawn.
After expiration of the offer, if all conditions of the tender offer have
been met, Hospira intends to acquire all of the remaining outstanding shares
of Javelin common stock by means of a merger under Delaware law. As a
result, Javelin would be a wholly owned subsidiary of Hospira, Javelin's
shares would cease to be traded on the NYSE Amex, and Javelin would no
longer be required to file certain information and periodic reports with the
U.S. Securities and Exchange Commission.”

is permissible under the agreement and plan of merger dated April 17, 2010
among Discus, Hospira and Javelin (the "merger agreement") on the basis that
certain of the conditions to Discus's obligation to accept and pay for
shares tendered through May 18, 2010, which represent 78.82% of the shares
of common stock of Javelin outstanding, were not fully satisfied prior to
the expiration of the initial offering period of the tender offer. Javelin
believes that, in asserting the failure to satisfy in full any such
conditions, Hospira is purporting to rely on information regarding a supply
chain issue in the United Kingdom described below.

Javelin disagrees with Hospira's position under the merger agreement that
the conditions to the tender offer have not been fully satisfied and
believes that all of the conditions of the tender offer have been satisfied.
Javelin continues to honor its obligations under the terms of the merger

发帖数: 2640 | 2 这个股我感觉根本就没留在手里的必要了，反正我是签署了proxy statement，以2.2作
价全卖给了 Hospira。
但是，这种交易会影响帐户的资金显示。因为broker在与收够方交易时，需要等一个星
期才能拿到钱打在你的帐户里。结果你的帐户在这一个星期里这笔股票的价值将以0来
计算，这可能造成资金回笼的困难。而在市场上直接交易，收回资金就快得多。
别的broker我不清楚，但是sogotrade就是那么处理的。。。 | j*****7

也不想留了。不过还是想留着自己做决定灵活一点。
